Advised by Zerbach & Company Corporate Finance GmbH ("Z&C"), the owners of MBE Moderne Befestigungselemente GmbH ("MBE"), headquartered in Menden (Sauerland), successfully implemented their succession.
MBE, founded in 1979, is a leading supplier of coated fasteners for high-quality building facades and primarily supplies the German specialist trade with coated fastening elements for ventilated curtain-wall facades. In addition to its strong and long-standing customer relationships with the specialist trade, MBE possesses a high level of technological expertise in the field of coating and differentiates itself through very short response and delivery times. Customers receive the fasteners in individual colour specifications and, in part, in small quantities within 24 to 48 hours.
The acquirer is SFS Group AG ("SFS"), listed on the Swiss stock exchange SIX and headquartered in Heerbrugg, Switzerland, which prevailed against numerous national and international interested parties in a competitive bidding process structured by Z&C. With this acquisition, SFS expands its offering in fastening technology and broadens its market access in Central Europe. The acquisition is subject to approval by the relevant competition authorities.
SFS is a globally leading company for mechanical fastening systems, precision parts, assemblies and logistics systems. The group employs more than 10,000 people at over 80 locations worldwide and generated revenue of over CHF 1.7 billion in 2018.
As part of securing the succession, the owners of MBE mandated Zerbach & Company as exclusive corporate finance advisor to search for suitable partners. One decisive factor was, among others, the sector expertise of Zerbach & Company, as the MBE transaction was already the partners' fourth successfully completed project in the field of building components. Previously, the sale of DuoTherm Rolladen GmbH (in 2016), an advisory project for Ritter Fenster + Türen GmbH (in 2018) and the sale of Schwering Türenwerk to the Herholz Group (in 2008) had already been successfully realised.
