Accompanied by Zerbach & Company Corporate Finance GmbH ("Z&C"), the shareholders of MBS Logistics ("MBS Logistics") have sold 100% of shares, excluding the company's joint ventures, to AD Ports Group (ADX: ADPORTS), Abu Dhabi, UAE ("AD Ports Group").

With close to forty years of industry experience, MBS Logistics is a global integrated logistics services provider with core freight forwarding operations in Germany and Central Europe and an established network across China, Vietnam and the USA. Its diversified, asset-light business model spans air, ocean, road and rail transport, complemented by contract logistics, project cargo, customs and compliance, and time-critical multimodal solutions.

MBS Logistics serves customers across aerospace, automotive, apparel & footwear, retail & consumer goods, home furniture, e-commerce, engineering, technology, FMCG and healthcare through 26 offices worldwide and a team of over 450 professionals.

AD Ports Group is a leading global enabler of integrated trade, industry and logistics solutions, listed on the Abu Dhabi Securities Exchange. The acquisition is executed through the Group's logistics arm, Noatum Logistics, whose network already comprises more than 80 own offices across 26 countries and over 4,250 industry specialists.

The transaction further consolidates AD Ports Group's global logistics platform, provides immediate access to key Central European logistics corridors and China–West trade lanes, and strengthens the Group's positioning along Europe–Asia, Trans-Pacific and Trans-Atlantic routes.

Zerbach & Company structured the international transaction process on behalf of the shareholders of MBS Logistics, led the discussions with international investors and brought the process to a successful signing. Completion is subject to EU regulatory approvals and is expected in H2 2026.
